These Terms and Conditions (“Agreement”) apply to all product design, development, and marketing services provided by Stackt (“Company,” “we,” “our,” or “us”). By engaging our services, you (“Client,” “you,” or “your”) agree to comply with these terms.

Scope of Services

Stackt provides a range of services, including but not limited to product design, development, paid advertising, PPC management, SEO, and other digital marketing services. The exact scope of work will be outlined in a written agreement or proposal provided to the Client.

Client Responsibilities

Communication: The Client agrees to provide timely feedback, approval, and materials required for us to perform the agreed services.
Access to Platforms: The Client is responsible for granting Stackt access to necessary accounts, including website admin, ad platforms, and analytics tools.
Payments: Payments are due as outlined in the agreement between Stackt and the Client. Non-payment or delayed payments may result in a suspension of services.
Payment Terms

Project Fees: Fees for services are detailed in the project proposal or service agreement. The Client agrees to pay according to the terms stated in the agreement.
Payment Schedule: A deposit may be required to commence work, with the balance payable upon project milestones or completion as outlined in the agreement.
Late Payments: Payments not received by the due date may incur late fees, and services may be paused or terminated until payments are brought up to date.

Revisions

Our services include a specific number of revisions, as outlined in the project proposal. Any additional revisions requested by the Client may result in additional fees.

Confidentiality

Stackt agrees to treat all materials and information provided by the Client as confidential. Similarly, the Client agrees not to disclose any of Stackt’s proprietary information, pricing, or strategies.

Intellectual Property

Ownership: Upon full payment, the Client will own all rights to the final deliverables, excluding any third-party materials, software, or components used in development.
Licensing: Stackt retains the right to use project deliverables in our portfolio, marketing materials, and case studies, unless otherwise agreed.

Marketing and Ad Services

Performance Disclaimer: While Stackt uses best practices and proven strategies, we cannot guarantee specific results from marketing or paid ad campaigns. Results are dependent on a variety of factors outside of our control.
Ad Spend: The Client is responsible for ad spend on any advertising platforms, which is separate from the fees paid to Stackt for management services.

Refund Policy

Design and Development Services: Refunds for design and development services are not available once the work has commenced. Any deposit paid is non-refundable.
Marketing Services: Stackt offers no refunds for completed marketing services, including PPC management, SEO, or other digital marketing activities.

Termination

Either party may terminate the contract with 30 days’ written notice. In the event of termination, the Client will be invoiced for any work completed up to the termination date.

Limitation of Liability

Stackt will not be liable for any indirect, special, incidental, or consequential damages, including loss of revenue or profits, arising from the use or inability to use the services provided, even if we have been advised of the possibility of such damages.

Force Majeure

Stackt will not be held responsible for delays or failures in performance resulting from circumstances beyond our control, including acts of God, war, or other uncontrollable events.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Stackt operates, without regard to its conflict of law provisions.

Acceptance of Terms

By engaging Stackt for any product design, development, or marketing services, the Client acknowledges that they have read and understood these Terms and Conditions and agree to be bound by them.
